News Rover Distributor Agreement
If you are enthusiastic about News Rover and have a web
site, you may want to consider becoming a News Rover distributor. News Rover distributors
receive a commission for every registration they sell. If you are interested, read on.
News Rover Distributor Terms And Conditions
Prerequisites
In order to be a News Rover distributor, you must satisfy
the following conditions:
- You must be a registered customer of News Rover.
- You must have one or more web pages on which you actively
advertise News Rover.
- You must have an FTP site from which your customers can
download a customized version of the News Rover installation file (nrsetup.exe) which is
about 3.7 MB.
- You must agree to begin distributing new versions of News
Rover within 10 days after you are notified of their release.
- You must be at least 18 years old.
Commission Rates and Payment Schedule
The version of News Rover that will be downloaded from your
site will be tagged to identify you as the distributor. When a customer downloads
News Rover from your site and clicks the "Register" button within News Rover,
this identification will be transmitted along with the customer's registration
information. You will receive a commission of 15% of the purchase
price for each News Rover successfully registered by your customers. If a credit or return
is given to one of your customers, the commission for that sale will be deducted.
For example, if 50 customers downloaded News Rover from your site and registered it, your
commission would be 50 * 0.15 * $29.95 = $224.62
Note: The Distributor is only given credit for
registrations placed by customers who go to the News Rover registration web page by
clicking the appropriate button from within News Rover. No credit is given for
customers who register by going directly to the News Rover registration web page even if
the customers downloaded a demonstration version of News Rover from your site. The
reason for this is that the information that identifies you as the distributor is only
sent to the registration server when customers connect by using the Registration button in
News Rover.
Promotion and Advertising of News Rover
As part of this agreement, you must promote News Rover on
at least one Web page, and you may promote it on as many as you wish. You are
welcome to devise other methods of advertising that draw customers to your News Rover
download page. You are granted permission to use the News Rover dog icon on your
News Rover web page, and you may use material from the News Rover home page
(http://www.NewsRover.com) and sub-pages as long as it is quoted accurately and fairly.
You may not say or imply that you are the
developer or owner of News Rover, and you may not enter into any sub-distributor
agreements. You must agree to promptly revise or remove from your News Rover
advertisement any material that S&H Computer Systems finds objectionable (this applies
only to the section of your web page(s) directly associated with News Rover; S&H
Computer Systems shall have no control over the content of your other web pages or your
business that is not related to News Rover marketing and sales).
Support
Support for News Rover customers who purchase versions
downloaded from your site will be provided by S&H Computer Systems through the same
means provided for customers purchasing directly from S&H. The distributor will not
receive a commission for any support charges or for upgrade versions of News Rover sold
directly by S&H to the distributor's customers.
Order Processing
Credit card processing will be performed by the S&H
News Rover server, so it is not necessary for you to have a credit card merchant account.
The S&H order processing system will keep track of how many registrations have been
received from your downloads, and you will be sent a commission check once per quarter.
Information about customers such as name, postal address, e-mail address, etc. will be
kept confidential by S&H Computer Systems and will not be provided to the distributor.
Termination Of Agreement
Either S&H Computer Systems or the distributor may
terminate this agreement at any time and for any reason. If the agreement is terminated,
the distributor will receive a final check for any registrations received up to the point
of the termination. Because we incur overhead maintaining registration information and
writing commission checks, we reserve the right to discontinue your status as a
distributor if your commission check falls below $50 in a given quarter.
S&H Computer Systems reserves the right to ammend the
Distributor Agreement at any time. If the changes are not acceptable to the
distributor, the distributor may terminate the agreement and receive payment for
commissions accrued up to that point, otherwise the distributor will be bound by the
revised terms of the agreement.
Limitations of Agreement
This agreement between S&H Computer Systems and the
Distributor is restricted to matters related to the marketing and sales of News Rover.
Neither party shall have any control over other activities, services and products
sold by the other party. This is a non-exclusive agreement; S&H Computer Systems
maintains the right to sell News Rover through other means and to enter into other
agreements with different terms with other distributors. Likewise, the distributor
may sell other products or services that are not bound by this agreement.
Signup Procedure
If you agree to the terms and conditions of this agreement
and wish to sign up as a News Rover distributor, click the button at the bottom of this
page. You will be presented with a form that you must fill out and submit. Once your
application has been processed and approved, you will be sent an e-mail message with a
customized version of the News Rover installation file (nrsetup.exe) attached to it.
This is the version of the installation program that contains your distributor
identification information. You must store it in your FTP download area and set up
the appropriate links to it from your web page.

Distribution of New Versions
When S&H Computer Systems releases a new version of
News Rover, a customized version of the installation file (nrsetup.exe) will be generated
containing your distributor identification. This file will be sent to you as an
attachment to an e-mail message. You must then store the file in your FTP download
directory and set up the appropriate links on your web pages. You must install new
versions with 10 days of receiving them.
